Terms of Service

These Terms of Service ("Terms") govern your access to and use of Rechlio, an AI-powered sales outreach platform operated by Replova Labs Private Limited ("Replova Labs", "we", "us", "our"). By registering an account or using Rechlio, you agree to be bound by these Terms.

1. Definitions

  • "Platform" means the Rechlio web application, APIs, and associated software modules
  • "User" or "You" means any business, organization, or individual accessing the Platform
  • "Workspace" means your isolated data environment within Rechlio
  • "Wallet" means your prepaid Rechlio account balance used to meter pay-as-you-go usage
  • "WABA" means WhatsApp Business Account operated via Meta's WhatsApp Cloud API
  • "Content" means any data, text, templates, leads, scripts, or materials you create or transmit

2. Account Eligibility & Responsibilities

  • You must be at least 18 years old and have the legal capacity to enter into binding contracts
  • If registering on behalf of a company, you warrant that you have authority to bind that entity
  • You are responsible for maintaining the confidentiality of your account credentials
  • Creating multiple free or trial workspaces to circumvent usage quotas is strictly prohibited

3. Service Overview

Rechlio provides B2B sales automation capabilities, including:

  • Public business directory lead discovery (Google Places API)
  • AI lead scoring and campaign segmentation
  • Multi-channel campaign execution (Email, SMS, WhatsApp Cloud API, AI Voice Calls)
  • Standalone AI voice calling (Bolna AI integration)
  • WhatsApp Inbox & Conversation Management
  • Analytics dashboards, CRM integrations, and meeting scheduling

4. Subscription Plans, Wallet & Billing

4.1 Subscriptions & Quotas

Rechlio offers tiered subscription plans (Pay-as-you-go, Starter, Growth, Scale) with monthly quotas for searches, emails, SMS, WhatsApp messages, and AI voice call minutes. Quotas reset on your monthly billing anniversary.

4.2 Prepaid Wallet

All usage beyond plan quotas, and all Pay-as-you-go usage, is deducted from your prepaid Rechlio wallet balance. You must maintain a sufficient balance to ensure uninterrupted campaign execution.

4.3 Payments, Pricing & Taxes

Wallet top-ups and subscription payments are processed securely through our payment gateway, Razorpay(Razorpay Software Private Limited), in Indian Rupees (INR). We do not store your full card, UPI, or bank details — these are handled directly by the gateway. Prices are displayed in INR and are exclusive of GST unless stated otherwise. We reserve the right to update unit rates with 30 days' advance notice.

5. Acceptable Use Policy Incorporation

Your use of Rechlio is governed by our Acceptable Use Policy. You warrant that you will not use the Platform to send unsolicited bulk communications (spam), deceptive content, phishing, or messages in violation of applicable laws (including the Telecom Commercial Communications Customer Preference Regulations / TRAI DND guidelines).

6. WhatsApp Business Platform & Meta Integration Terms

Rechlio integrates with the Meta WhatsApp Cloud API to enable WABA messaging. Your use of WhatsApp features is subject to the following mandatory conditions:

6.1 WABA Ownership & Embedded Signup Authorization

  • You connect your own verified WhatsApp Business Account (WABA) via Meta Embedded Signup or API keys
  • You retain ownership of your WABA and are responsible for accepting and adhering to Meta's Business Terms
  • You warrant that you have full legal authority to grant Rechlio access to manage messaging and templates on your WABA

6.2 Customer Consent & TRAI/WhatsApp Opt-In Warranty

  • You warrant that every recipient phone number you message on WhatsApp has granted explicit, verifiable opt-in consent
  • You are sole Data Fiduciary (Controller) for your contact lists and recipient consent compliance
  • You must provide recipients with a clear, automated mechanism to opt out (e.g. replying "STOP") and honor opt-out requests immediately

6.3 Meta Template Approval, Quality Rating & Enforcement Disclaimer

  • Business-initiated messages outside the 24-hour customer window must use Meta-approved message templates
  • Meta independently monitors your WABA Quality Rating, message open rates, and user block/report rates
  • Enforcement Disclaimer: Meta reserves the right to rate-limit, suspend, or permanently ban your WABA for policy violations, high block rates, or spamming. Replova Labs is not liable for any account restrictions, messaging limits, or bans imposed on your WABA by Meta.

6.4 Meta Conversation Billing

Meta charges WABA owners directly (or via Meta payment methods linked during Embedded Signup) for WhatsApp conversation categories (Marketing, Utility, Authentication, Service). Rechlio platform fees are separate from Meta conversation charges.

7. Data Ownership & Intellectual Property

  • Your Data: You retain complete ownership of your lead lists, campaign copy, customer logs, and templates
  • Platform IP: Rechlio, its brand, source code, UI designs, and proprietary algorithms are owned exclusively by Replova Labs Private Limited
  • License to Us: You grant us a limited, non-exclusive license to process and transmit your content solely to deliver platform services

8. AI-Generated Content Disclaimer

Rechlio uses advanced AI models (such as Claude by Anthropic) to generate outreach suggestions and call summaries. AI outputs are provided as recommendations. You are solely responsible for reviewing and approving all content before transmission.

9. Service Availability & SLA

  • We strive for 99.5% uptime but do not warrant uninterrupted service
  • We are not responsible for delays or outages caused by underlying infrastructure providers (Meta Cloud API, Bolna AI, Plivo, Google, AWS)

10. Limitation of Liability

To the maximum extent permitted under Indian law:

  • Our total aggregate liability for any claim shall not exceed the fees paid by you to Rechlio in the 3 months preceding the incident
  • We are not liable for indirect, punitive, or consequential damages, business disruption, or lost profits
  • We are not liable for messaging deliverability failures caused by carrier filtering or Meta enforcement

11. Indemnification

You agree to defend, indemnify, and hold harmless Replova Labs Private Limited, its directors, and employees from any claims, fines, penalties, or legal fees resulting from your breach of these Terms, non-compliance with opt-in laws, or illegal use of messaging channels.

12. Governing Law & Dispute Resolution

  • These Terms are governed by the laws of the Republic of India
  • Any disputes shall first be submitted to good-faith mediation
  • If unresolved, disputes shall be subject to the exclusive jurisdiction of courts in Bengaluru, Karnataka, India
